STRUCTURE
BENSON BROS (BRISTOL) LIMITED - The Builder of the Flats who were the original Freeholder of the whole Estate.
BISHOPS KNOLL FREEHOLD COMPANY LIMITED. The Freeholders of the Estate formed in 2018 when the original Freeholders went into liquidation. The company is wholly owned subsidiary of Bishops Knoll Management Company Limited.
BISHOP’S KNOLL MANAGEMENT COMPANY LIMITED - A Company incorporated to lease the site from BENSON BROS. for 999 years with effect from 24 June 1985 in return for an annual ground rent. Responsible for administering and running the Estate, ensuring that all covenants contained in the leases are observed and making such interpretations and additional regulations as may be necessary.
EASTON BEVINS BLOCK MANAGEMENT – Employed by the Management Company as Managing Agent to assist the Directors in the day to day management of the Estate. Easton Bevins also carry out the Company Secretarial duties.
ORGANISATION - THE MANAGEMENT COMPANY
1) The lessee or lessees of each Flat, whose name(s) is / are registered in writing with the Company Secretary, shall be a Member of the Management Company. There shall be one vote in respect of each Flat.
2) There will be an Annual General Meeting and such other Extraordinary General Meetings as the Directors think fit or Members requisition. A minimum of 10 members or a majority of the elected Directors alone may requisition an Extraordinary General Meeting.
3) The Board shall be elected at the Annual General Meeting and may consist of representatives each from Woodland Court and Bishops Court and two Representatives from Orchard Court. The Chairman, will be elected by the members of the elected committee.
4) Vacancies of Directors shall be filled by election at a General Meeting. If a vacancy occurs during the course of the year, it may be filled by appointment by the remaining Directors but such appointment will last only until the next following Annual General Meeting.
